By accessing or using Poetrics ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Poetrics is a platform that provides analytics, reporting, and data integration services. The Service allows you to:

• Connect and manage multiple data sources including Google Analytics 4, Google Search Console, and other third-party services
• Create and manage client accounts and projects
• Generate reports and dashboards based on your connected data
• Access analytics insights and visualizations
• Store and process data from connected services

3. Account Registration

To use the Service, you must:

• Create an account by providing accurate and complete information
• Maintain the security of your account credentials
• Be at least 18 years of age or the age of majority in your jurisdiction
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. Third-Party Integrations

4.1 Google Services

When you connect Google services (Google Analytics 4, Google Search Console) to our platform:

• You grant us permission to access and retrieve data from your Google accounts on your behalf
• You represent that you have the necessary rights and permissions to grant such access
• You acknowledge that your use of Google services is subject to Google's terms of service
• You can revoke our access at any time through your Google Account settings or our platform

5. Acceptable Use

8. Payment and Fees

If you subscribe to a paid plan:

• You agree to pay all fees associated with your subscription
• Fees are billed in advance on a recurring basis
• All fees are non-refundable unless otherwise stated
• We may change our fees with reasonable notice
• You are responsible for all taxes associated with your use of the Service
• Failure to pay may result in suspension or termination of your account

9. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

10. Termination

10.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

10.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• You fail to pay applicable fees
• Your use of the Service poses a security risk
• We are required to do so by law
• We discontinue the Service

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties regarding the accuracy, reliability, or completeness of data
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding third-party services or integrations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POETRICS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Actions or omissions of third-party services
• Unauthorized access to or alteration of your data

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

You agree to indemnify, defend, and hold harmless Poetrics and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

14. Dispute Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Poetrics is registered, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Poetrics regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 No Agency

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms.
